Article 1. Applicability of the General Terms and Conditions

1.1 These Terms and Conditions apply to all memberships entered into by Golfcentrum Amsteldijk.

1.2 If and to the extent that a separate agreement deviates from the provisions of these general terms and conditions, the provisions of the separate agreement shall apply, unless expressly stated otherwise.

Article 2. Internal Regulations

2.1 Members must comply at all times with the Bylaws as they are currently in effect.

2.2 Upon registration, Golfcentrum Amsteldijk will provide a copy of the Internal Regulations in effect at that time. Golfcentrum Amsteldijk is entitled at all times to amend and/or supplement the Internal Regulations. Any such amendment will always be posted on the Golfcentrum Amsteldijk website.

Article 3. Costs and Payment

3.1 Upon entering into a Membership, a one-time registration fee is due, which must be paid before the start of the first Membership period. After a membership is terminated, a new registration fee is due upon entering into a new membership that does not begin immediately following the previous membership.

3.2 Each Member pays the membership fee corresponding to the selected membership type. The board determines the amount of the membership fees annually.

3.3 The membership fee must be paid in advance and may be paid in monthly or annual installments. The method of payment for the membership fee and the applicable payment terms are set forth in the membership agreement entered into between Golfcentrum Amsteldijk and the Member.

3.4 Cash payments are only accepted for annual installments.

3.5 Depending on the selected membership plan, payment may be made via direct debit. In principle, payments are debited monthly. If a direct debit fails on the first attempt, Golfcentrum Amsteldijk—without needing to contact the Member—is entitled to repeat the debit within 5 business days and to charge a fee of €5.95 (including VAT). If the repeat direct debit attempt also fails, the outstanding amount (membership fees + repeat direct debit fees) must be paid by the Member at the Golfcentrum Amsteldijk front desk or via bank transfer to Golfcentrum Amsteldijk’s account.

3.6 In the event of late payment or a failed direct debit and the subsequent retry, the Member—without the need for prior notice of default—shall be in default and will be denied access to Golfcentrum Amsteldijk. As soon as Golfcentrum Amsteldijk has received the full amount of the outstanding balance, the Member may once again use the facilities of Golfcentrum Amsteldijk, provided that Golfcentrum Amsteldijk has not yet exercised its authority under Sections 7.1 or 7.2 of these general terms and conditions to terminate the membership.

3.7 Members who have made a reservation at Golfcentrum Amsteldijk based on a Membership with a punch card may cancel this reservation no later than 24 hours before the start of the reservation. If a reservation is canceled within 24 hours before the start of the reservation, or if a Member fails to use the reservation without canceling it, the Member is liable for the full amount of the reservation.

3.8 If a payment deadline is exceeded, the Member shall owe statutory interest on the full outstanding amount without any notice being required. Golfcentrum Amsteldijk is also entitled to charge the Member for all judicial and extrajudicial collection costs incurred after the payment deadline has expired, to the Member, whereby the extrajudicial collection costs are deemed to amount to 15% of the total invoice amount, with a minimum of €250.

Article 4. Term and Termination of Membership

4.1 Unless otherwise agreed, a Membership is entered into for a period of 12 months.

4.2 Memberships entered into for a specific period may be canceled, subject to a one-month notice period prior to the end of the agreed-upon membership period.

4.3 If a Member has not canceled the Membership in a timely manner for a specific period, the Membership will be renewed for an indefinite period after that period. An indefinite membership may be canceled at any time, subject to a one-month notice period.

4.4 Early termination by the Member is only possible if one of the conditions set forth in 4.4.1 or 4.4.2 is met and subject to a one-month notice period:

4.4.1 the Member changes their residential address and, as a result of the increased travel time of at least half an hour, it is no longer possible for the Member to use the facilities of Golfcentrum Amsteldijk under reasonable conditions (according to the ANWB route planner);

4.4.2 it has become impossible for the Member, due to a medical condition, to use the facilities of Golfcentrum Amsteldijk for the remainder of the membership period. A medical certificate from a doctor must be submitted in this regard.

4.5 In the event of termination as referred to in 4.3 and 4.4, Golfcentrum Amsteldijk is entitled to recalculate the membership fee for the elapsed membership period based on the actual period of use and the corresponding demonstrable (higher) membership fee.

4.6 Any termination pursuant to Sections 4.2 through 4.4 must be made in writing or electronically.

Article 5. Suspension of Membership by Members

5.1 A membership may be suspended, provided that one of the situations listed in sections 5.1.1 through 5.1.3 applies:

5.1.1 pregnancy;

5.1.2 a medical condition that prevents the Member from using the facilities of Golfcentrum Amsteldijk. A medical certificate from a doctor must be submitted in this regard;

5.1.3 work or study abroad, as a result of which the Member is reasonably unable to use the facilities of Golfcentrum Amsteldijk. A statement from the Member’s employer or educational institution must be submitted in this regard.

5.2 A request for suspension may only be made by completing the suspension form, which is available at the front desk of Golfcentrum Amsteldijk or on its website.

5.3 A suspension takes effect on the first day of the month following Golfcentrum Amsteldijk’s acceptance of the suspension request.

5.4 The term of the Membership will be extended by the duration of the suspended period(s).

Article 6. Changes to Membership During the Term

6.1 During the Membership Period, a Member may change their existing Membership by completing the form provided for that purpose—either in writing or digitally:

6.1.1 to a different membership type, provided that the membership fee for that type is not less than the membership fee for the current membership;

6.1.2 into another Membership Period, provided that the new period does not end earlier than the existing Membership Period would have ended.

Article 7. Termination of Membership and Denial of Access to Golfcentrum Amsteldijk

7.1 Amsteldijk Golf Center is authorized to terminate a membership if it has sent the Member a written notice of default and the Member is nevertheless more than 30 days behind in payment of membership fees.

7.2 If a Member fails to comply with one or more of the house rules as set forth in the Bylaws, Golfcentrum Amsteldijk is without the need for a notice of default and without being required to refund any membership fees already paid to it, is authorized to:

7.2.1 terminate the Member’s membership effective immediately, and/or

7.2.2 to immediately deny the Member access to the Amsteldijk Golf Center.

Article 8. Liability and Indemnification

8.1 Members use the facilities at Golfcentrum Amsteldijk at their own risk and responsibility.

8.2 Golfcentrum Amsteldijk and/or any of its employees are not liable for personal accidents and any resulting damage, injury, nor for theft, damage, and/or loss of property belonging to visitors and/or third parties that is used or stored at Golfcentrum Amsteldijk.

8.3 In the unlikely event that Golfcentrum Amsteldijk is deemed liable toward a Member, Golfcentrum Amsteldijk’s liability shall at all times be limited to direct damages resulting directly from the failure to, failure to fulfill, or failure to fulfill in a timely or proper manner, Golfcentrum Amsteldijk’s obligations under a Membership or an unlawful act on the part of Golfcentrum Amsteldijk, provided that there is also intent or willful recklessness on the part of Golfcentrum Amsteldijk. Golfcentrum Amsteldijk is never liable for consequential damages.

8.4 The liability of Golfcentrum Amsteldijk, to the extent that it is covered by its (liability) insurance, is limited to the amount of the payment made by the insurer. If, in any case, the insurer does not make a payment or the damage is not covered by the insurance, Golfcentrum Amsteldijk’s liability is at all times limited to a maximum of

€5,000.

8.3 By signing a Membership Application (in writing or electronically), indemnifies Golfcentrum Amsteldijk against any liability to third parties for damages suffered by such third parties during their presence on the premises as a result of the Member’s acts or omissions.

Article 9. Force Majeure

9.1 If Golfcentrum Amsteldijk is unable to fulfill its obligations regarding a Membership due to force majeure, Golfcentrum Amsteldijk is authorized to suspend the performance of its obligations under the Membership for a maximum of three (3) months, or to terminate the membership in whole or in part.

9.2 Force majeure on the part of Golfcentrum Amsteldijk includes, among other things, situations in which it is unable to fulfill its obligations due to a strike, lockout, fire, storm, weather conditions, a shortage of resources, parts, or labor not attributable to it (including as a result of illness), transportation disruptions, power outages, government measures, and, in general, causes beyond the control or authority of Golfcentrum Amsteldijk.

Article 10. Other Terms and Conditions

10.1 Membership is strictly personal and non-transferable.

10.2 Golfcentrum Amsteldijk uses personal data exclusively for internal purposes and communication with the Member in question (including sending newsletters and similar communications) and therefore does not disclose such data to third parties.

10.3 Amsteldijk Golf Center reserves the right to adjust its hours of operation for the purposes of cleaning, renovations, repairs, special events, holidays, or other valid reasons, and will make every effort to notify Members of such changes in advance.

Article 11. Disputes and Governing Law

11.1 Any disputes that may arise between Golfcentrum Amsteldijk and one or more of its Members shall be submitted exclusively to the competent court in the District of Amsterdam, unless mandatory legal provisions provide otherwise.

11.2 All Memberships to which these terms and conditions apply, in whole or in part, are governed by Dutch law.
